ARBITRATION CLAUSE

THE PARTIES AGREE THAT ANY ACTION TO ENFORCE THIS AGREEMENT SHALL BE EXCLUSIVELY BY ARBITRATION PROCEEDINGS AS DESCRIBED HEREIN IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES. ANY DISUPUTE CONCERNING THE SITE OR AGREEMENT SHALL BE SUBMITTED TO BINDING ARBITRATION AND NOT TO A COURT FOR DETERMINATION. ARBITRATION SHALL COMMENCE AFTER WRITTEN NOTICE IS GIVEN FROM EITHER PARTY TO THE OTHER, SUCH ARBITRATION SHALL BE ACCOMPLISHED EXPEDITIOUSLY IN FLAGLER COUNTY AND SHALL BE CONDUCTED IN ACCORDANCE WITH THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (“AAA”). THE ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR WHO IS MUTUALLY AGREED UPON BY THE PARTIES OR, IF NO AGREEMENT IS REACHED BY AN ARBITRATOR SELECTED BY THE AAA. THE ARBITRATOR SHALL BE SELECTED FROM A LIST OF ARBITRATORS SUBMITTED BY THE AAA. JUDGMENT UPON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF. EACH PARTY SHALL PAY HIS/HER OWN, LEGAL FEES AND COSTS AND ANY OTHER FEES INCURRED IN CONNECTION WITH AN ARBITRATION PROCEEDING WHICH ARISES OUT OF OR RELATES IN ANY WAY TO THIS AGREEMENT, THE SITE, THE RELATIONSHIP BETWEEN THE PARTIES, STATUTORY VIOLATIONS OR OTHER CLAIMS, AND/OR ANY ALLEGED DUTIES OR OBLIGATIONS BETWEEN THE PARTIES, PROVIDED, HOWEVER, THAT THE ARBITRATOR SHALL AWARD THE ARBITRATOR FEES AND COSTS TO THE PREVAILING PARTY IN ITS AWARD.

IN NO EVENT SHALL EITHER PARTY BE ENTITLED TO A TRIAL BY JURY. IN THE EVENT THAT TH USER FILES ANY ACTION IN A COURT OF LAW AGAINST THE OTHER PARTY, THE COURT ACTION SHALL BE ABATED PENDING THE FINAL AWARD BY THE ARBITRATOR WHICH FINAL AWARD SHALL BE BINDING AND ONLY SUBJECT TO BEING FINALIZED AS A JUDGMENT BY THE COURT OF COMPETENT JURISDICTION.

These Terms and Conditions may be revised, modified, amended, or supplemented by Saltwater Homes without notice at any time for any reason. These terms and conditions shall apply to all Users regardless of any future transaction or dealings between such User and Saltwater Home, or lack of any such future transaction or dealings, and shall survive the termination of any such future transaction or dealings.

GOVERNING LAW, ASSIGNMENT AND RECORDING

This Agreement shall be construed and enforced in accordance with the laws of State of Florida and may not be assigned or recorded except with the prior approval of both parties, which approval may be withheld for any reason whatsoever.

VENUE/APPLICABLE LAW

This Agreement shall be interpreted by the laws of the State of Florida. Each party acknowledges that this Agreement has been drafted in Flagler County, Florida (“the County”) and Saltwater Homes has an office in the County. Accordingly, the only appropriate venue for the resolution of any dispute lies in the County. The venue for the resolution of all disputes shall be in the County.
